GENERAL TERMS AND CONDITIONS OF CONTRACT AND INTEGRATED SPECIFIC TEXTS

1. Identification of the seller

These General Terms and Conditions of Contract govern the distance sale of products offered through the website https://www.unobike.com/.

The owner of the website and seller is IMPORT EXPORT BIKE, S.L., with Tax ID B-54070818, registered office at Calle Juan de Juanes, 27 Bajo Derecha, 03802 Alcoy (Alicante), Spain, telephone 966 335 599 and email administracion@unobike.com.

The company is registered in the Commercial Registry of Alicante, Volume 3013, Folio 17, Sheet A-96719.

Hereinafter, the seller shall be referred to as UNOBIKE.

2. Purpose and scope of application

These General Terms govern the online purchase of products offered by UNOBIKE through its website, as well as the rights and obligations arising from said contract.

These Terms apply to all orders placed through the website. When the customer has the legal status of consumer or user, the regulations in force on the protection of consumers and users shall apply.

If the customer acts as a business or professional, these Terms shall apply to the extent compatible with that condition and with the applicable commercial regulations.

3. Acceptance of the Terms

The customer must read and accept these General Terms before confirming the order.

Confirmation of the order implies express acceptance of these General Terms and of the specific texts linked through the links indicated in this document.

The customer declares to be of legal age and to have sufficient legal capacity to contract.

4. Complementary contractual documentation and integration of texts

These General Terms are supplemented by the specific sections published on the website. These sections develop specific matters of the contract and form part of the contractual relationship in all that is applicable to the order.

All texts must be interpreted jointly and consistently with these General Terms and with the applicable mandatory regulations.

If there is a contradiction between a specific section and these General Terms, the applicable mandatory regulations shall prevail and, in matters concerning consumers, the interpretation that is in accordance with the legal protection of the consumer.

5. Pre-contractual information

Before the customer confirms the order with an obligation to pay, UNOBIKE will provide the essential information of the purchase in a clear, comprehensible and accessible manner.

  • Such information shall include, as a minimum:
  • the identity of UNOBIKE and its contact details;
  • the main features of the selected products;
  • the total price of the order, including applicable taxes;
  • shipping costs and any additional applicable costs, or the calculation method when they cannot be determined in advance;
  • the available payment methods;
  • the estimated delivery time or date;
  • the existence of the legal right of withdrawal, its term, form of exercise and applicable exclusions;
  • the legal warranty of conformity and, where applicable, additional commercial warranties;
  • customer service, after-sales and claims channels.

Detailed information is developed in the specific sections linked in clause 4. These sections must be available to the customer before the final confirmation of the order.

6. Purchase process, order validation and conclusion of the contract

The purchase process allows the customer to select products, add them to the cart, review the order, enter or confirm billing and delivery details, select the shipping method, choose the payment method and finally confirm the purchase.

Before confirming the order, the customer will have a final summary showing the products, units, total price, taxes, shipping costs, delivery and billing address, payment method and essential applicable conditions.

The customer must review this data before confirming the order and may correct material errors before finalising the contract.

Final confirmation will be made by means of a button or equivalent mechanism that clearly indicates that the order entails an obligation to pay.

Once the purchase process has been completed, UNOBIKE will send the customer a confirmation or acknowledgement of receipt of the order electronically.

The contract shall be formalised when the customer confirms the order with the obligation to pay and UNOBIKE sends the electronic confirmation of receipt of the order.

When the payment method requires subsequent verification, the effectiveness of the order shall be conditional on the validation of the payment. In payments by bank transfer, the order will not be processed as validated until UNOBIKE verifies the effective receipt of the amount, and the delivery period will start from said verification.

In the event of a manifest material error (e.g.: incorrect price due to technical failure), objective impossibility of supply or supervening lack of availability, UNOBIKE will inform the customer and will offer, as appropriate, the confirmation of the order with the corrected data, an alternative expressly accepted by the customer or the total or partial cancellation of the order with refund of the amounts affected.

7. Availability of products

All orders are subject to actual product availability.

If a product is not available or cannot be supplied within a reasonable time, UNOBIKE will inform the customer and the customer may keep the order with a new estimated date, accept a product alternative or cancel the affected order with refund of the corresponding amounts.

8. Price, taxes and additional costs

The prices published on the website are expressed in euros and shall be those in force at the time of final confirmation of the order, except for a manifest material error (e.g.: incorrect price due to technical failure)..

Prices shall include the taxes legally applicable according to the territory of delivery and the nature of the transaction, unless a specific tax or customs regime requires the price to be shown without Spanish taxes.

Shipping costs and any additional costs will be shown separately before the final confirmation of the order and before accessing the payment gateway.

UNOBIKE freely updates published prices for future sales. Price changes will not affect orders already confirmed, except for a manifest material error.

9. Payment methods

The customer must pay for the order using the payment methods enabled at any given time on the website.

The use of certain payment methods will be subject to authorisation or validation by the corresponding payment service provider.

For payments by bank transfer, UNOBIKE will not consider the order validated until the effective receipt of the amount has been verified.

10. Invoicing

UNOBIKE will issue the invoice in accordance with the current invoicing regulations.

The customer accepts the issuance of the invoice in electronic format when legally possible. If you need an invoice in another legally admitted format, you must request it from UNOBIKE.

11. Delivery and delivery time

UNOBIKE will deliver the products to the address indicated by the customer during the purchase process.

The delivery time shall be that indicated in the product file, in the order summary or in the confirmation sent to the customer. If a specific date is not indicated, UNOBIKE will deliver without undue delay and within the maximum legal period applicable.

If the initially scheduled period cannot be met, UNOBIKE will inform the customer. The customer may accept a new reasonable date or terminate the contract with full reimbursement of the amounts corresponding to the affected order.

12. Transfer of risk

The risk of loss or deterioration of the product shall be transferred to the customer when he, or a third party designated by him other than the carrier proposed by UNOBIKE, acquires material possession of the product.

The delivery of the package to the transport company does not by itself release UNOBIKE from its liability towards the consumer when delivery to the customer has not yet taken place.

13. Review of the order upon receipt

The customer must check the external condition of the package at the time of delivery and notify UNOBIKE of any noticeable incident as soon as possible.

The customer is requested to check the order upon receipt and report any damage during transport as soon as possible. This makes it easier for UNOBIKE to file a claim with the transport insurance.

Prompt notification facilitates handling with the carrier, but the lack of immediate notification will not in itself entail the loss of the customer’s legal rights against UNOBIKE.

14. Voluntary size or product exchanges

UNOBIKE maintains a commercial policy of size or product exchanges under the terms indicated in the corresponding specific section.

This commercial policy does not replace or limit the legal right of withdrawal, the legal warranty of conformity or any other mandatory consumer right.

15. Legal right of withdrawal

When the customer has the status of consumer or user, they may withdraw from the contract entered into at a distance within a period of fourteen (14) calendar days, without the need to justify their decision.

The period will start on the day on which the customer, or a third party designated by them other than the carrier, acquires material possession of the product.

To exercise the withdrawal, the customer must notify their decision to UNOBIKE by means of an unequivocal declaration sent by email, enabled form or any other reliable means.

The use of the model withdrawal form is optional.

16. Effects of withdrawal and refund

In the event of valid withdrawal, UNOBIKE will refund the price of the product and the initial delivery costs corresponding to the ordinary mode of delivery offered.

If the customer chose a special, urgent or more expensive modality than the ordinary one, UNOBIKE will only refund the amount equivalent to the cost of ordinary delivery.

UNOBIKE will make the refund without undue delay and, in any case, within the legal period of fourteen (14) calendar days from the receipt of the withdrawal notification.

UNOBIKE will withhold the refund until the products are received or until the customer provides sufficient proof of their return, whichever condition is met first.

The refund will be made by the same payment method used by the customer, unless expressly indicated otherwise and accepted by UNOBIKE, provided that this does not generate costs for the customer.

17. Return of goods after withdrawal

The customer must return or deliver the products to UNOBIKE without undue delay and within the legal period of fourteen (14) calendar days from the communication of withdrawal.

The customer shall bear the direct costs of return, unless UNOBIKE has expressly agreed to bear them.

If the customer requests that UNOBIKE manages the collection or return transport, the cost of said service shall be borne by the customer and the cost of the service will be communicated in advance. Said amount may be deducted from the refund when the customer accepts the management by UNOBIKE.

The right of withdrawal does not imply the right to use the product. The customer may carry out the checks they would do in a physical store. In the case of products that show assembly marks, tool marks on screws, fuel residues or dirt, the product will suffer a depreciation that will be deducted from the refund amount, which may reach 100% of the value if the product is no longer suitable for sale as new.

18. Condition of the returned product

The product must be returned in correct condition, with its packaging, accessories, manuals and other included elements, without damage or signs of use other than those necessary to verify its nature, characteristics and operation.

If the product shows assembly, installation, improper use, blows, scratches, dirt, deterioration, missing accessories or any other circumstance that diminishes its value due to causes attributable to the customer, UNOBIKE will deduct from the amount to be refunded the depreciation actually caused, after a reasonable assessment of the condition of the goods.

In voluntary commercial returns other than the legal right of withdrawal, the product must be returned in its original condition and suitable for new commercialisation, in accordance with these contracting conditions.

19. Exceptions to the right of withdrawal

The right of withdrawal will not be admitted in the cases legally excluded.

In particular, it shall not apply to products made according to customer specifications or clearly customised, products that may deteriorate or expire quickly, sealed products not suitable for return for reasons of health, hygiene or safety once unsealed, or goods which, by their nature, are inseparably mixed with others after delivery.

The specific request for an article for a customer will only exclude withdrawal when, by its characteristics, nature or supply conditions, it actually fits into one of the legal cases of exclusion.

20. Incorrect product or shipping error

If the product delivered does not correspond to the order placed, the customer must communicate this to UNOBIKE as soon as possible.

UNOBIKE will assume the reasonable costs of collection of the wrong product and delivery of the correct product, at no cost to the customer.

21. Legal warranty of conformity

All products sold to consumers are covered by the legal warranty of conformity under the terms established by the applicable regulations.

UNOBIKE will be liable to the consumer for any lack of conformity that exists at the time of delivery and is manifested within the current legal terms.

In the event of a lack of conformity, the consumer may request, under the terms legally provided for, the repair, replacement, price reduction or termination of the contract when applicable.

22. Incident and after-sales procedure

The customer must report any incident, defect or lack of conformity through the customer service channels enabled by UNOBIKE. By email, ventas@unobike.com or by telephone 966335599, or 654110069. 

UNOBIKE will manage the incident according to the applicable review procedure, and may request information, photographs, documentation or the return of the product to verify its condition.

This verification procedure does not limit the consumer’s legal rights.

The intervention of the manufacturer, distributor or importer shall be internal or auxiliary. UNOBIKE will not condition the legal warranty on the exclusive decision of the manufacturer nor will it transfer to the consumer a general exclusion of liability for delay or denial attributable to third parties.

23. Additional commercial warranty

When a product includes an additional commercial warranty from the manufacturer or UNOBIKE, such warranty will apply according to its own conditions.

The additional commercial warranty does not replace or limit the legal warranty of conformity.

24. Customer service

25. Out-of-court dispute resolution

UNOBIKE informs of its adhesion to the European online dispute resolution platform and, where appropriate, to the alternative consumer dispute resolution systems indicated on the website.

26. Applicable law and jurisdiction

These General Terms are governed by Spanish law.

When the customer has the status of consumer or user, the mandatory protection rules corresponding to the legislation of their place of habitual residence shall also apply in the cases legally provided for.

Disputes will be submitted to the courts and tribunals that are competent according to the applicable regulations, without prejudice to the legal jurisdiction that corresponds to the consumer.
